Terms of Service

1. Acceptance of Terms

By accessing or using Brokr Trackr ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of the Service

Brokr Trackr is a subscription-based software platform designed to help insurance agencies manage internal workflows, including clients, projects, tasks, renewals, calendars, and internal collaboration.

Brokr Trackr is not a CRM, agency management system (AMS), commission tracking system, or record of insurance advice. The Service does not provide insurance, legal, regulatory, or compliance advice. Customers remain solely responsible for their business operations, regulatory obligations, and client relationships.

3. Account Registration and Administration

To use the Service, you must create an account and provide accurate, complete, and current information.

The first user associated with an organization is designated as an Administrator and is responsible for managing users, permissions, and billing for the organization.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

4. Subscription, Fees, and Billing

Subscription Model

Brokr Trackr is offered on a paid subscription basis. A valid payment method is required to activate an account.

Pricing

Pricing is published on the Brokr Trackr website and may include limited or promotional offers. Current pricing includes:

Pricing does not vary by user count or feature access.

Billing

• Subscriptions are billed in advance on a recurring monthly basis.
• Fees are charged automatically to the payment method on file.
• All fees are stated in U.S. dollars unless otherwise specified.

Refunds

All payments are non-refundable, except where required by applicable law.

5. Cancellation and Termination

Customer Cancellation

Customers may cancel their subscription at any time. Cancellation will take effect at the end of the current billing period. Access to the Service will continue through the end of the paid period.

No prorated refunds are provided for partial billing periods.

Failed Payments

If a payment attempt fails, Brokr Trackr may suspend access to the Service after a 7-day grace period. Continued non-payment may result in account termination.

Termination by Brokr Trackr

Brokr Trackr reserves the right to suspend or terminate accounts for non-payment, misuse of the Service, security concerns, or violations of these Terms.

6. Data Ownership and Use

Customers retain ownership of all data submitted to the Service.

By using the Service, you grant Brokr Trackr a limited, non-exclusive license to host, process, and store data solely for the purpose of providing and improving the Service.

Brokr Trackr may use aggregated and anonymized data for analytics, benchmarking, and product improvement purposes.

7. Data Retention

Following cancellation or termination, customer data will be retained for up to 30 days, after which it may be permanently deleted unless otherwise required by law.

8. Acceptable Use

You agree not to:

• Use the Service for unlawful purposes
• Attempt to access systems or data without authorization
• Reverse engineer or interfere with the Service
• Share access credentials in violation of your organization's policies

Brokr Trackr may suspend or terminate access for violations of this section.

9. Availability and Support

The Service is provided on an "as available" basis. Brokr Trackr does not guarantee uninterrupted availability and does not provide a formal service level agreement (SLA).

Maintenance, updates, or outages may occur from time to time.

10. Limitation of Liability

To the maximum extent permitted by law:

• Brokr Trackr's total liability arising out of or related to the Service shall not exceed the fees paid by the customer in the 12 months preceding the claim.
• Brokr Trackr shall not be liable for indirect, incidental, consequential, special, or business interruption damages, including missed deadlines, lost revenue, or lost data.

11. Indemnification

You agree to indemnify and hold harmless Brokr Trackr from claims, damages, or expenses arising out of your use of the Service or violation of these Terms.

12. Changes to the Terms

Brokr Trackr may update these Terms from time to time. Material changes will be communicated through the Service or via email. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles.
